Welcome to Agent Outstanding ("the Service"), operated by UK Business Automations ("we", "us", "our"). By accessing or using our Service, you agree to be bound by these Terms of Service.

2. Description of Service

Agent Outstanding is a software-as-a-service (SaaS) platform that provides automated Care Quality Commission (CQC) compliance auditing for care homes. The Service uses artificial intelligence to analyse care plan documents and generate audit reports and action plans.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be authorised to act on behalf of your care home organisation
• Notify us immediately of any unauthorised account access

4. Free Trial and Subscription

Free Trial: New users receive 7 days of full access to the Service at no charge. No credit card is required to start a trial.

Subscription: After the trial period, continued access requires a paid subscription. Subscription fees are:

• Monthly: £249 per month
• Annual: £2,390 per year (equivalent to 2 months free)

Subscriptions automatically renew unless cancelled before the renewal date.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload content that infringes intellectual property rights
• Attempt to gain unauthorised access to the Service
• Use the Service to transmit malicious code
• Share your account credentials with third parties
• Resell or redistribute the Service without authorisation

6. Data Processing

When you upload care plan documents:

• Documents are processed by our AI system to generate audit reports
• Original uploaded documents are processed and then immediately deleted from our systems
• Only the generated audit reports are retained in your account
• You retain ownership of all your content

7. Disclaimer

The Service provides automated compliance analysis for informational purposes only. It does not constitute:

• Legal advice
• Official CQC assessment or rating
• Guarantee of compliance or inspection outcome

You remain solely responsible for ensuring your care home's compliance with CQC regulations.

8. Limitation of Liability

To the maximum extent permitted by law, UK Business Automations shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9. Termination

We may suspend or terminate your account if you violate these Terms. You may cancel your subscription at any time through your account settings or by contacting us.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the Service.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
